These Terms of Service ("Terms") govern your access to and use of the Claexa AI web application ("Claexa AI," "we," "our," or "us"), a platform of AI tools for students and educators.
By accessing or using Claexa AI, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use Claexa AI.
By creating an account, accessing, or using Claexa AI, you affirm that you are of legal age to enter into this agreement in your jurisdiction, or that you have obtained parental or guardian consent if you are a minor and your jurisdiction requires it. You also agree to comply with all applicable laws and regulations.
To access certain features of Claexa AI, you must register for an account using your Google Sign-In. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Claexa AI cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
Subject to your compliance with these Terms, Claexa AI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use Claexa AI for your personal and educational purposes.
You agree not to use Claexa AI for any purpose that is unlawful or prohibited by these Terms. This includes, but is not limited to:
You retain all rights in, and are solely responsible for, the text inputs and media (images, PDFs) that you upload or create using Claexa AI ("Your Content").
By submitting Your Content to Claexa AI, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with the operation of Claexa AI and its AI model providers for the purpose of providing and improving the services. This includes, but is not limited to, sharing Your Content with our AI model providers for analysis and processing as described in our Privacy Policy.
You agree that Your Content will not:
All intellectual property rights in Claexa AI, including but not limited to software, design, text, graphics, logos, and trademarks, are owned by Claexa AI or its licensors. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
Claexa AI may offer premium features or subscriptions that require payment. All payments are processed through Cashfree Payments. You agree to pay all applicable fees and taxes associated with your purchases.
Refund Policy: As stated in our Refund Policy, all sales and subscriptions for Claexa AI services are final, and no refunds will be provided.
Claexa AI is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Claexa AI will be uninterrupted, secure, or error-free.
To the fullest extent permitted by applicable law, in no event shall Claexa AI, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use Claexa AI; (ii) any conduct or content of any third party on Claexa AI; (iii) any content obtained from Claexa AI; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
You agree to defend, indemnify, and hold harmless Claexa AI and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of Claexa AI, including, but not limited to, Your Content, any use of Claexa AI's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from Claexa AI.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in New Delhi, and you hereby consent to the personal jurisdiction and venue therein.
We may terminate or suspend your account and access to Claexa AI immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use Claexa AI will immediately cease. If you wish to terminate your account, you may simply discontinue using Claexa AI or follow the account deletion process provided within the application.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use Claexa AI after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the service.
Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Claexa AI regarding your use of the service.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Claexa AI's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
